SemiAccidents.com Domain Placement Agreement
These Terms and Conditions (“Terms”) govern the purchase and use of domain placements and related services offered through SemiAccidents.com (“SemiAccidents.com,” “Company,” “we,” or “us”). The organization or individual purchasing or using the services is referred to as the “Partner.”
These Terms become effective when the Partner purchases, accesses, or begins using the services. The applicable purchase, insertion order, signup form, or other order documentation is referred to as the “Order.” Together, these Terms and the Order constitute the agreement between SemiAccidents.com and the Partner (“Agreement”).
1. Agreement and Services
SemiAccidents.com provides access to and placement within certain digital properties, which may include branded sections, listings, geographic placements, or other placements on websites owned or operated by the Company.
The Partner's specific domain placement, geographic market, placement type, pricing, and any included or supplemental placements will be identified in the applicable Order.
SemiAccidents.com represents that it has the rights necessary to provide the domain placements and services described in the Agreement.
2. Term and Placement Rights
The Partner's placement begins on the effective date identified in the Order and continues for the period specified in the Order.
The Partner receives only the limited placement and usage rights described in the Agreement for the applicable term. Purchasing a placement does not transfer any ownership interest in the applicable domain, website, or other digital property.
3. Fees and Payment Obligations
The Partner agrees to pay all fees specified in the Order according to the payment terms and installment schedule, if any, stated therein.
The Partner remains responsible for the full contractual balance throughout the term of the Agreement.
4. Nature of the Service
The services provided under this Agreement consist of domain and digital placement services. SemiAccidents.com is not operating as a referral service or lead generation platform through this Agreement.
The Partner may use its placement only for lawful business purposes and must comply with all applicable federal, state, and local laws and regulations.
The Partner is solely responsible for its professional services, representations to consumers, and any relationship or engagement resulting from exposure through the applicable domain or placement.
5. Performance and No Guarantees
Website traffic and visitor activity may fluctuate substantially based on search engine activity, market conditions, consumer behavior, competition, and other circumstances outside the Company's control.
Accordingly, SemiAccidents.com does not guarantee any particular amount of website traffic, inquiries, calls, business, revenue, or other results unless a specific performance commitment is expressly included in the Partner's Order.
Any performance guarantee, minimum threshold, cancellation right, refund provision, or similar commitment applies only when expressly stated in the Order and will be governed by the terms of that Order.
Except for commitments expressly included in the Order, the Company makes no specific warranty regarding the performance or results of any product, placement, or service provided under this Agreement.
6. Ownership and Intellectual Property
All rights, title, and ownership interests in SemiAccidents.com and any other Company-owned or operated domains, websites, and Company content remain exclusively with the Company.
The Partner acknowledges that its rights are limited to the placement and use rights provided under this Agreement for the applicable term. No domain ownership, title, or other ownership rights are conveyed to the Partner.
7. Partner Responsibilities and Indemnification
The Partner assumes responsibility for its use of the domains, placements, and services.
The Partner agrees to indemnify and hold the Company harmless from claims, liabilities, damages, or expenses arising from the Partner's use of the domains or services.
8. Promotional Use of Partner Materials
The Partner grants SemiAccidents.com a non-exclusive, worldwide, royalty-free license to use, reproduce, display, distribute, and publicly perform the Partner's business name, logos, trademarks, testimonials, and other materials supplied by or associated with the Partner (“Partner Materials”) for purposes of advertising, marketing, and promoting the Company's services.
Partner Materials may be featured on Company websites, social media platforms, press releases, case studies, advertisements, and other promotional materials.
SemiAccidents.com may reasonably resize, format, crop, edit, or otherwise modify Partner Materials to accommodate the applicable promotional medium, provided such changes do not materially alter their substance.
The Partner represents and warrants that it has the rights necessary to authorize these uses and that the Company's permitted use of the Partner Materials will not infringe upon any third-party rights.
9. Confidentiality
SemiAccidents.com agrees to maintain the confidentiality of information exchanged between the parties in connection with their business relationship.
The parties acknowledge that providing and administering the services may require certain information to be collected, exchanged, or transferred between them.
10. Termination and Default
If the Partner misses a required payment, SemiAccidents.com may provide written notice of the missed payment. If the payment remains outstanding for five (5) days following receipt of that notice, the Company may terminate the Agreement.
Termination resulting from non-payment does not eliminate the Partner's obligation to pay the remaining contractual balance. In such circumstances, one hundred percent (100%) of the unpaid balance will become due and payable within thirty (30) days of the initial breach.
SemiAccidents.com also reserves the right, in its sole discretion, to revoke or terminate the Agreement for any reason or without cause.
11. Non-Refundable Payments and Chargebacks
Except where an Order expressly provides otherwise, all payments made under this Agreement are final.
The Partner agrees that it will not initiate, request, or pursue any chargeback, payment reversal, or payment dispute through a bank, credit card issuer, payment processor, or other financial institution in connection with payments made under this Agreement.
Initiating or attempting such a chargeback, reversal, or dispute constitutes a material breach of the Agreement.
If a chargeback or payment reversal is initiated, SemiAccidents.com may immediately suspend services and pursue all available remedies, including recovery of the disputed amount, associated processing or chargeback fees, and additional costs incurred as a result of the breach.
12. Assignment and Transfer
The Partner may not assign, sell, or transfer its rights or obligations under this Agreement without the Company's prior written consent.
Following termination of a Partner's placement, the Company may enter into a new agreement permitting another party to obtain the applicable domain or market placement.
SemiAccidents.com may sell, assign, transfer, or otherwise convey its ownership or interest in a domain, the services, or this Agreement at its sole discretion.
13. Personal Guarantee
When the Partner is an organization, the individual accepting these Terms on its behalf (“Guarantor”) represents that they are an owner, officer, or principal of the Partner and personally, unconditionally, and irrevocably guarantees the full and prompt payment and performance of all obligations of the Partner under this Agreement, including all applicable fees, charges, costs, interest, and expenses.
This is a continuing, absolute, and unconditional guarantee of payment and not merely of collection. SemiAccidents.com is not required to first pursue the Partner or exhaust any remedies against the Partner or any other person or entity before enforcing the guarantee against the Guarantor.
The Guarantor waives defenses based upon lack of notice, amendments or modifications to this Agreement, extensions of time, or settlements or compromises between SemiAccidents.com and the Partner.
The obligations of the Guarantor survive termination of this Agreement and remain in effect until all amounts owed under the Agreement have been paid in full.
14. Dispute Resolution
Any dispute arising out of or relating to this Agreement will first be submitted to voluntary mediation.
Either party may deliver a written demand for mediation to the other party. The receiving party will have twenty (20) days to accept or reject the demand. If mediation proceeds, the parties will mutually agree upon a mediator.
If mediation results in an impasse, the dispute will be submitted to binding arbitration in accordance with the rules of the American Arbitration Association.
Arbitration may be conducted remotely. If the arbitrator requires an in-person proceeding, the proceeding will take place in Palm Beach County, Florida.
15. Electronic Acceptance and Signatures
This Agreement may be accepted and executed electronically.
Electronic acceptance and electronic signatures will have the same force and effect as original signatures to the fullest extent permitted by applicable law.
16. Opportunity for Legal Review
The Partner acknowledges that it has been afforded an opportunity to review this Agreement with legal counsel of its choosing, including determining whether the Agreement substantially complies with laws applicable in the state or jurisdiction where the Partner conducts business.
By accepting the Agreement, the Partner acknowledges that it has either obtained such legal advice or voluntarily elected to proceed without legal review and accepts the associated risk.
17. Severability and Entire Agreement
If any provision of this Agreement is determined to be invalid or unenforceable, that determination will not affect the validity or enforceability of the remaining provisions, which will continue in full force and effect.
These Terms, together with the applicable Order, constitute the agreement governing the Partner's purchase and use of the services.
Any modification to the Agreement must be reflected in the applicable Order or otherwise agreed to in writing by the parties.
